Consider the Client Agreement Template:
What is the lifetime value of just ONE happy, action-taking client to you? Is it $5000? $10,000? $30-50k or more?

Most small businesses can't afford the risks and liabilities of employees when starting, so they rely on contractors.
Key terms in your contract or how you conduct your business with a contractor could unintentionally reclassify your Contractor as an Employee, leaving you on the hook to pay tens - if not hundreds - of thousands of dollars in employment taxes, overtime compensation, unemployment benefits, penalties, legal fees and more.
Just 4 words commonly used in many agreements can automatically convert your contractor to an employee in some states.
If you're paying your contractor to create intellectual property for you, the wrong clauses could unintentionally be leaving your IP legally in the contractor's rights to use and repurpose.
Your time is valuable, and you don't have room to micromanage and handhold.
Setting clear expectations up front with your Contractors can set the relationship up for success - and screen out people who just aren't going to be a good fit. Don't waste time and energy training people who won't actually stay around - or worse, open you to costly liability.

Frequently Asked Questions
Do I need an attorney if I get the template?
This is kind of like asking if you should still have a wellness checkup with a doctor if you eat a healthy diet. Many business owners choose to make their own agreements without consulting an attorney and some get by with it for a while and some don't.
It would be irresponsible of us to not encourage you to have an attorney review your agreement for your unique business circumstances, state and local laws to ensure your business is maximally protected and compliant with applicable laws.
I purchased a template previously, how is this one different?
There are a variety of templates on the market, but at the time of writing this we are not aware of any other templates specifically designed with the advanced clauses and techniques beneficial to rapidly scaling businesses that we have included in ours.
We also believe in maximizing relationships by providing thoughtful, fair, and equitable terms while still maximizing your protection. Good fences make good neighbors and thorough agreements support profitable relationships.
If I should still seek an attorney, why use a template?
A high-quality template, such as those produced by ProSCALE Legal™, has had an enormous number of hours put into it. When you show up to your local attorney with these agreements already filled in with your business terms, your attorney will be significantly more likely to simply redline it with minor suggestions rather than recommend writing it from scratch (which may cost thousands and still not get everything you want if you don't know what to ask for).
This is especially true since most attorneys are not trained to handle the complexities of online businesses operating across state lines and aren't aware of the nuances we address.
Will a comprehensive agreement scare away clients, contractors or collaborators?
Would you be more inclined to sign an agreement that is 1) short, vague, and allows you no exit or 2) puts the critical terms upfront in simple language, clearly and thoroughly explains everything, and helps you see the other party as fair, upright and experienced?
We think smart business owners like you would prefer the latter option and your ideal clients, contractors and collaborators would, too.
What is your refund policy?
Due to the nature of the templates, the immense amount of clauses in them, and your license to use in any future business you own, there are no refunds.
I do not live in the US. Will these templates work for me?
Our templates are written to support businesses subject to US laws. This includes businesses operating in the US.
While many countries do to some extent model the laws of the US, we cannot advise as to the appropriateness of the terms in our template for use in other countries. If you do use our templates for your business in another country, we encourage you to have local counsel in your country review them.
Which templates are complete and when will they all be ready?

I am a licensed professional expanding through coaching. Why should I use these templates?
Many licensed professionals have legal agreements in place for their licensed services and are tempted to tweak those for use in coaching. We actively discourage this because the more the coaching business looks like licensed services, the greater the risk it could be treated as such. Our templates are written to help you keep clean lines around your non-licensed (ie, coaching) services.
